1. Definitions and Interpretations

1.1 The following definitions apply. "Alloy" means Alloy Computer Products (Australia) Pty Ltd, 2 / 17 Felstead Drive, Truganina, VIC 3029, Austrlia. "EasyBuy" means the Alloy's online system incorporating "product pricing", "ordering" and "web account maintenance" modules located at the internet website www.alloy.com.au or at any website nominated by Alloy from time to time. "Reseller's Logon" means the email address and password issued by Alloy to the Reseller under which Reseller is granted access to EasyBuy. "User" means a representative of Reseller authorised to access EasyBuy and operate EasyBuy under Reseller's Logon.

1.2 (a) A reference in these terms and conditions to Reseller includes where the context permits all persons authorised to operate EasyBuy under Reseller's Logon.

(b) A reference in these terms and conditions to the use of EasyBuy by the Reseller includes all transactions undertaken under the Reseller's Logon.

2. Privacy Policy

Access to EasyBuy by the Reseller is subject to Alloy's EasyBuy Privacy Policy.

3. Security

3.1 Reseller acknowledges that they may enable Users to use EasyBuy and undertake transactions that are legally binding on and/or have other important consequences for Reseller, including but not limited to:

(a) The disclosure of Reseller's confidential information to User including information in relation to Reseller's credit status with Alloy; and

(b) Enter into legally binding contracts on Reseller's behalf for the purchase of Products from Alloy. Reseller further acknowledges that access to EasyBuy and the functions available within EasyBuy - controlled by an Alloy account number, email address and password - is issued by Alloy to Users at the request of the Reseller.

3.2 (a) Reseller must ensure that all Users keep all login information strictly confidential.

(b) Reseller accepts full responsibility and liability for all transactions undertaken by Reseller and Users on EasyBuy.

3.3 Subject to Clause 3.4, Reseller's responsibility and liability under Clause 3.2 shall be absolute and includes circumstances where a User's password has been lost or revealed to any third party.

3.4 Reseller's responsibility and liability for the use of EasyBuy by a User shall not cease until Alloy receives written notice from the Reseller (and Alloy has acknowledged receipt of such notice) that the User's password has or may have been compromised or that the access to EasyBuy by the User is to be terminated.

3.5 Subject to Clause 3.4, the Reseller agrees that Alloy shall not be responsible for and releases Alloy from liability in respect of any loss or damage to the Reseller as a result of the use of EasyBuy by the Reseller.

3.6 Subject to Clause 3.4, the Reseller indemnifies and keep indemnified Alloy from and against all liabilities actions claims demands losses damages proceedings costs charges and expenses for which Alloy shall or may be or become liable as a result of offering EasyBuy for use by the Reseller.

4. Use of EasyBuy

4.1 Alloy gives no warranty that any product ordered by the Reseller under EasyBuy is fit for any specific purpose. Reseller shall be liable to ensure that a product or product configuration is fit for the purpose required by the Reseller's customer.

4.2 Alloy gives no warranty or representations in relation to the accuracy of pricing of any product provided by EasyBuy. Alloy reserves the right to change the pricing of any product at any time with or without prior notice to the Reseller.

4.3 Orders placed under EasyBuy represent offers by Reseller for the purchase of products and are subject to acceptance by Alloy in writing or by the delivery of the products. For the avoidance of doubt, a user's order confirmation displayed on this website or sent to the Reseller by email does not constitute acceptance.

5. EasyBuy Availability and Performance

5.1 Alloy makes no representation and gives no warranty with respect to the availability or performance of EasyBuy and shall have no liability in relation to the performance or availability of EasyBuy.

5.2 Alloy reserves the right to modify amend and/or discontinue EasyBuy at any time in which event Reseller shall have no claim whatsoever against Alloy.

6. General

6.1 EasyBuy is provided "as is" and "as available" and Alloy makes no warranty or representations in relation to the accuracy of any content of EasyBuy. Alloy assumes no liability for any errors or omissions in the content of EasyBuy.

6.2 Alloy will in no event be liable for damages arising as a result of Reseller's use of this site.

6.3 The use of EasyBuy shall be exclusively governed by the Laws of Victoria, Australia and all disputes arising from or relating to the use of EasyBuy are exclusively subject to the Courts of Victoria, Australia

7. Intellectual Property

7.1 Reseller should assume that all content on EasyBuy is copyrighted and that it may not be used without Alloy's prior written consent.

8. Encryption

8.1 Information or data sent to or received from EasyBuy is encrypted over a 128 bit SSL connection. Details of other security measures can be found in Alloy's EasyBuy Privacy Policy. Alloy otherwise makes no representation or warranty with respect to the security or confidentiality of material transmitted through EasyBuy.

9. No Partnership

9.1 Reseller acknowledges and agrees that it is not in partnership with Alloy and that the word "EasyBuy" shall not be construed to the effect that Reseller and Alloy are partners or are in partnership including but not limited to under the Partnership Act or equivalent legislation.

9.2 Reseller must not claim and must not make any representation whatsoever that may be construed to the effect that Reseller is a partner of or is in partnership with Alloy. Without limiting the generality of this Clause 9.2 Reseller must not use the term "partner" "partnership" or like term in any representation or description made to any person with respect to the relationship between Reseller and Alloy including with respect to the participation by Reseller in EasyBuy.

9.3 Reseller indemnifies and keep indemnified Alloy from and against all liabilities actions claims demands losses damages proceedings costs charges and expenses for which Alloy shall or may be or become liable as a result of any claim made against Alloy by any person on the basis that Alloy is a partner or is in partnership with Reseller.

Your Privacy

Alloy is strongly committed to protecting the privacy of all our Resellers and visitors. We understand that your privacy is important to you. It's just as important to us when we use the Internet.

The purpose of publishing our privacy policy is to outline exactly how we might gather information about people who use our website, how that information is stored & used, and our disclosure practices.

One of the primary breaches of privacy that can occur on the Internet is the re-marketing of email address lists. You can be assured that Alloy will not do this with your details.

Site Usage Information

Alloy automatically collects routine statistical information about all visitors to our site through our web server logs (the same as most other sites on the Internet). These logs do not identify individuals - only page displays, data transfers, browser types and so forth.

We use this information to help us determine general usage patterns and fine tune our content and designs in order to make our website as useful and enjoyable as we can.

The Alloy website may issue activity tracking cookies to your web browser, which are used to persist the application session on our website.

Personal Data

Visitors may be asked for individually identifiable information when they sign up to use certain services (such as our email newsletter and bulletins, which asks for a valid email address) or when ordering products or services from our e-commerce system.

In some instances, visitors may be asked for personal interest and demographic information in order to create a more personalised user experience (eg: creating a customised front end or service on the website by using cookies to store your preferences from one visit to the next).

Your personal information is recorded in your personal profile and your user account on our secure database. This information is accessible for you from our control panel, web account and profile. You may peruse and change any of the information as you wish. If you no longer require a user account on our system, you can request to have it removed and all personal and identifiable information relating to you will be erased from our secure database. Your profile stores information you may volunteer to provide.

Alloy will not release any individually identifiable data that might be collected in this way without the affected individual's prior consent.

In other words, if you've ever passed your email address or some other information to us, we regard it as private and confidential. Nobody else will ever see it without your knowledge and informed written consent.

If you believe that your privacy has been breached by using our website, we want to hear about it and we'll take prompt action on the matter.

Company Data

Clients who sign up to use our e-commerce system will be asked for specific information about their company. This is required for use in our accounting system for the processing of orders for products or services from our e-commerce system. This information is stored as an online company profile in a secure database and on our accounting system.

Other Sensitive Information

We have taken great care in securing your sensitive information. Your passwords are strongly encrypted and then stored on our secure database. Passwords are never included in emails, as emails are generally transmitted in clear text (a security risk). Your password can be accessed only using an SSL (128 bit encrypted) secure web browser session to our website.

Order Information

Your orders are recorded on our secure database in case there is any need to refer to them again. Even though we do accept credit card information for orders, there is no credit card information of any kind recorded in the secure database.
